Article III: Governance Tenets
Section 1. Governance Tenets
We establish a governance mechanism for the Gnodi Blockchain in accordance with the following overarching Governance Tenets.
Tenet 1. Autonomy: The Gnodi Blockchain enables individuals to own, control, and derive value from their digital engagement and network participation, without centralized control, coercion, or external interference.
Tenet 2. Transparency: All actions and decisions within the Gnodi community shall occur with the highest level of transparency and openness.
Tenet 3. Equity: Every participant within the Gnodi community shall be afforded an equal opportunity to contribute, participate, and benefit.
Tenet 4. Innovation: The Gnodi community shall encourage participants to share new ideas and technologies that improve the organization as a whole, and reward such innovation.
Section 2. Roles, Responsibilities, and Rights
Node Owners:
a. Decentralized leadership begins with those who enable the Gnodi Blockchain’s operation.
b. Individuals who own and maintain nodes are empowered to engage in governance, contribute to community discussions, and submit proposals that shape the future direction of the ecosystem.
The Gnodi DAO:
a. This governing body is composed of all Gnodi node operators. Voting power is based on node tiers, with each node carrying a proportional governance weight according to its classification (e.g., Full Node, Half Node, Quarter Node, Mini Node), rather than each owner exercising one vote.
b. This DAO shall approve major protocol changes, new Delphi applications, and other significant decisions.
The Council of Guardians:
a. The Council shall consist of six (6) elected representatives from the community.
b. The Council will oversee the strategic governance and operational integrity of the Gnodi Blockchain.
c. Each member shall serve a term of one (1) year and may be re-elected for consecutive terms without limitation, provided they continue to receive approval through the established governance voting process.
d. A member of the Council of Guardians may be removed prior to the expiration of such member’s term upon a duly approved proposal of the Gnodi Blockchain as set forth herein, or upon the vote of no fewer than three (3) members of the Council of Guardians.
e. In the event a member of the Council of Guardians is removed, the remaining members of the Council shall call for a new election promptly thereafter, and any such elected member shall serve out the remainder of the removed member’s term. Such replacement may seek re-election for additional terms in accordance with the governance process.
f. The Council shall discharge its duties by, among other things, overseeing the allocation of ecosystem funds, managing disputes between and among members, and ensuring adherence to the Constitution and other governing documents.
g. The Council of Guardians is hereby empowered and authorized to take any action it deems necessary and appropriate on behalf of the Gnodi Blockchain that is not inconsistent with this Constitution, or any other organizational or operational document adopted by the Gnodi Blockchain, or any proposal duly approved in accordance herewith by the Gnodi Blockchain.
Developers:
a. Individuals and teams contribute to the development of the Gnodi Blockchain.
b. They work on technical advancements such as application development and protocol updates.
c. Developers must adhere to the principles and guidelines set forth in the Constitution and other governing documents, and policies set forth by the Gnodi Blockchain and its Council of Guardians.
d. The Council of Guardians is hereby empowered and authorized to enter into agreements with developers, service providers, or centralized entities, on such terms as it deems necessary and appropriate, for the advancement of the Gnodi Blockchain. This includes supporting the development of network infrastructure, applications and services built on the blockchain, protocol enhancements, or any operational or technical initiatives that further the mission and long-term sustainability of the Gnodi ecosystem.
Section 3. Decision-Making Process
Proposal Submission:
Eligibility to Submit a Proposal
• Any Node Operators in good standing may submit a proposal. • A proposal must receive support from at least five (5) additional Node Operators prior to submission. • Supporting members must be listed in the proposal and verified through the governance portal.
Proposal Submission Requirements

Council of Guardians Procedural Review
• The Council shall conduct a procedural and constitutional compliance review only. • The Council may not reject a proposal based on personal, political, or financial preference. • A proposal may only be delayed or returned if: – It violates the Constitution or applicable law – It lacks required endorsements or mandated information
• The Council of Guardians shall have the authority to veto or deny any proposal that, in its reasonable judgment, would cause harm to the Gnodi Blockchain, its ecosystem, or its participants. This protective authority is exercised as a fiduciary duty to preserve the stability, long-term sustainability, and integrity of the decentralized network on behalf of the community.
• If compliant, the proposal must be moved to a community vote within (10-15) days.
Voting Initiation
• Once approved for voting, the proposal is published on the governance portal. • A voting period shall begin immediately upon publication. • Voting period must be no fewer than seven (7) days and no more than twenty-one (21) days, unless otherwise defined by an approved emergency process.
Quorum Requirement
• A minimum of 15% of total weighted active node votes must participate for the vote to be valid.minimum of 15% of total weighted active node votes must participate for the vote to be valid.
Proposal Approval Thresholds
• Standard proposals pass with >50.1% of weighted “Yes” votes. • Constitutional or Operating Agreement proposals require 75% supermajority of total eligible weighted votes.
Implementation of Approved Proposals
• The Council of Guardians is responsible for executing approved proposals in good faith. • Progress updates shall be posted to the governance portal until implementation is complete. • Any material deviation from the approved proposal must return to the DAO for reauthorization.
Resubmission of Rejected Proposals • A proposal that fails may be revised and resubmitted after a 30-day waiting period. • The resubmission must clearly state what changes were made from the prior version.
Voting Mechanism:
Node Voting Power
· Full Node = 1.00 vote (100%)
· Half Node = 0.50 vote (50%)
· Quarter Node = 0.25 vote (25%)
· Mini Node = 0.10 vote (10%)
Voting power is cumulative based on total node ownership across all node types.
Standard Proposal Approval
• A proposal is approved if the total weighted “Yes” votes exceed 50.1% of the total weighted votes cast.
Amendments to the Constitution or Operating Agreement
• Requires a two-thirds (75%) supermajority of all eligible weighted votes, not just votes cast.
Voting Integrity and Transparency
• All votes must be cast through the official governance portal. • Weighted vote totals shall be automatically calculated and displayed. • Abstentions are recorded but do not count as “Yes” or “No” votes.
Voting Period Requirements
• Each proposal must clearly state its voting duration. • Voting periods shall not be fewer than seven (7) days. • Any extension of a voting period requires separate DAO approval.
Implementation:
o The Council of Guardians shall, upon approval of proposals as set forth above, implement such proposals. The Council may seek assistance from consultants and contributing entities as it deems necessary and appropriate. o The Council of Guardians shall use best efforts to implement such approved proposals in a timely and efficient manner. o The Council of Guardians shall communicate on a regular basis to the community its progress on implementation of any such approved proposals. o The Council of Guardians is empowered to take such action that it deems necessary and appropriate to carry out the purpose and effectuate the intent of any approved proposal.
